We are pleased to present this proposal for the development of a Student Management Application. This proposal outlines our understanding of the project requirements, the scope of work, development approach, project deliverables, commercial terms, and the terms and conditions governing this engagement. NovelX Technologies is committed to delivering a scalable, and production-ready Student Management Application within the agreed timeline and budget.
2. Project Understanding
Project Overview
The Academy Admin CRM is a centralized web-based management system designed to streamline the daily administrative and financial operations of an educational institution or training academy. The system will provide administrators with a single platform to manage students, staff, attendance, fees, expenses, and financial transactions while generating accurate reports and insights.
The primary objective is to reduce manual work, improve operational efficiency, maintain accurate records, and provide real-time visibility into the academy's academic and financial performance.

6. Post-Delivery Maintenance (AMC)
After the completion of the complimentary 3-month post-deployment support period, the client may opt for an Annual Maintenance Contract (AMC) to continue receiving bug fix support, performance monitoring, and technical assistance.
AMC Covers:
- Bug fixes within the approved project scope
- Performance monitoring
- Server monitoring
- Technical support during regular business hours
New feature development, major enhancements, third-party integrations, and change requests beyond the original scope will be billed separately with a revised quotation.

7. Terms & Conditions
7.1 Scope of Work & Change Requests
This proposal covers only the scope of work defined in Section 3. Any requirements outside this scope shall be treated as Change Requests (CR).
If a CR is raised for a module or task already approved by the client, the additional work will extend the project timeline for that module accordingly. As NovelX Technologies engages as a Technology Partner on fixed-price projects, such CRs will be assessed for timeline impact and billed separately at a mutually agreed rate – a standalone re-quotation will not be issued for the entire project.
7.2 Payment Terms
Payments are milestone-based as defined in Section 5. 100% of each milestone payment must be received in advance before the corresponding phase commences.
Any delay in payment will result in the corresponding project phase being paused until the outstanding payment is received. NovelX Technologies will not be liable for resulting delivery delays.
If any payment remains unpaid for more than 30 days after the milestone is due, NovelX Technologies reserves the right to halt all project activities.
7.3 Project Timeline
The project timeline will be shared in a separate Project Plan document after scope sign-off and initiation payment is received.
The overall timeline is dependent on timely approvals, asset delivery (logos, content, access credentials), and prompt milestone payments from the client. Delays on any of these fronts will extend the delivery schedule accordingly.
Delays caused by third-party services (registrations, API approvals, hosting providers, etc.) are beyond NovelX Technologies' control and will not be counted against the project delivery timeline.
7.4 Client Responsibilities
The client shall provide all required project assets (branding, content, access credentials) on time via registered email.
The client shall be responsible for purchasing and maintaining all required third-party services (domain, hosting/server, SMS gateway, payment gateway, etc.). NovelX Technologies will provide guidance and handle integration, but third-party costs are not included in the project price.
The client must ensure a designated point of contact is available for timely feedback and approvals throughout the project.
If there is no response or communication from the client for a period of 3 consecutive months during active development, NovelX Technologies reserves the right to formally deliver the source code developed up to that stage and close the project.
7.5 Acceptance Criteria
Each development phase will be reviewed and approved by the client before proceeding to the next. Approval shall be considered given if no written objections are raised within the review window communicated by the project manager.
After deployment, if any bugs are identified within the approved scope, NovelX Technologies will work to resolve them within the 3-month free support period. Resolution timelines depend on the complexity of the issue.
7.6 Intellectual Property
Upon receipt of full and final payment, ownership of the custom application code developed specifically for this project transfers to the client, excluding any pre-existing NovelX Technologies frameworks, libraries, or proprietary tools used in the build, which remain the property of NovelX Technologies.
Providing the complete source code to the client is chargeable and will be agreed upon separately.
7.7 Confidentiality
All project information and business data shared by the client shall be kept strictly confidential by NovelX Technologies and not disclosed to any third party without written consent.
All project communication shall be conducted through registered email addresses shared between both parties.
7.7A Portfolio & Showcase Rights
NovelX Technologies reserves the right to reference the client's company name, logo, and the project name in its official company portfolio, website, marketing materials, case studies, and client showcase listings for the purpose of demonstrating its development capabilities and past work.
NovelX Technologies will not disclose any confidential business data, proprietary workflows, or internal operational details of the client as part of any portfolio reference. Only the project name, nature of the platform, and general technology highlights may be shared.
The client may request exclusion from NovelX Technologies' portfolio in writing; NovelX Technologies will honour such requests within 30 days of receipt.
7.8 Security & Compliance
NovelX Technologies will implement foundational security features as part of the standard development scope. These measures provide a reasonable level of security for day-to-day platform operations. Advanced or enterprise-grade cybersecurity measures – such as penetration testing, vulnerability assessments, SOC monitoring, threat detection, or regulatory compliance auditing – are outside the scope of this proposal. If the client requires enhanced cybersecurity coverage, NovelX Technologies can provide a separate Cybersecurity Services Proposal upon request, covering the specific protections and compliance requirements needed.
NovelX Technologies shall not be held liable for any security breaches, data loss, or unauthorized access that occurs as a result of the client's hosting environment, third-party service vulnerabilities, or any infrastructure not directly under NovelX Technologies' development scope.
7.9 Warranty & Post-Deployment Support
NovelX Technologies provides 3 months of free post-deployment support covering bugs within the approved scope.
Issues arising from server failures, third-party service disruptions, or downtime are not covered under the free support period.
Beyond 3 months, support is available under the AMC arrangement (Section 6) or a new support agreement.
7.10 No Refund Policy
No refunds will be issued once any phase of development has commenced (including documentation, UI design, frontend, backend, database setup, or testing). The client acknowledges this policy upon project initiation.
7.11 Force Majeure
NovelX Technologies shall not be liable for delays caused by events beyond its reasonable control, including natural disasters, government action, internet/power outages, or third-party service failures. Affected timelines will be adjusted accordingly.
7.12 Termination
Either party may terminate the engagement with 30 days written notice via registered email.
If the client terminates the project, payments made for completed milestones are non-refundable. Work completed to date will be formally delivered to the client.
If the client discontinues and later wishes to restart, the project will be treated as a new engagement with a revised quotation based on updated scope and resource availability.
By proceeding with this engagement, the client confirms acceptance of the above terms and conditions, which together with the Scope of Work and Pricing Schedule constitute the formal agreement between the client and Novelexploration Technologies Private Limited (NovelX Technologies).

9. Acceptance

This signed proposal shall serve as the formal agreement between the client and Novelexploration Technologies Private Limited (NovelX Technologies).
